Terms of Service

The service

MI Forge provides founder-led engineering, automation, financial operations, and growth services as an independent contractor. Engagements are defined in individual proposals, which govern scope, price, timeline, and payment terms for that engagement.

Applications and acceptance

Submitting an application does not create a client relationship. Engagements are formed only when a proposal is accepted and the deposit is paid. We may decline any application for any reason, including fit, capacity, or scope.

Payment

Project engagements require a deposit (typically 50%) to begin work, with the balance due on delivery; engagements over $5,000 may use milestone payments (40/30/30). Monthly services bill in advance. The Forge Audit fee is credited in full toward any project booked within 30 days of the audit call; after 30 days the credit expires.

Ownership

On final payment, all work product — code, prompts, workflows, documentation, and deliverables — transfers to the client. MI Forge retains rights to underlying tools, libraries, and general know-how developed independently of the engagement.

Revisions and scope

Two revision rounds are included per deliverable unless a proposal states otherwise. Work outside the agreed scope is re-quoted or billed at the then-current advisory rate.

Cancellation

Deposits become non-refundable once work has started. Monthly services require 30 days' notice to cancel. Client delays in providing feedback or access pause timelines; engagements inactive for 30+ days may be closed with work-to-date invoiced.

Liability

Services are provided with professional care but no guarantee of specific business outcomes, revenue, or rankings. Total liability is limited to fees paid for the engagement giving rise to the claim. These terms are a template starting point — have counsel review before relying on them commercially.
